Statutory Naming Standards for American LLCs
Before submitting Articles of Organization, business owners must ensure their chosen entity name adheres to state corporation statutes. State rejection of LLC filings occurs most frequently due to naming non-compliance.
1. Mandatory Statutory Designators
Every limited liability company name must end with an approved designator indicating its limited liability status:
- "Limited Liability Company"
- "L.L.C." or "LLC"
- "Limited Company", "L.C.", or "LC" (recognized in states like Texas and Florida)
2. Restricted & Prohibited Terms
States prohibit words that deceive the public regarding corporate purpose or imply affiliation with governmental entities. Words like Bank, Banc, Banker, Insurance, Assurance, Attorney, Lawyer, Doctor, Federal, Reserve, Olympic cannot be used without statutory licensing clearance from respective state regulators.
